Multi-product software license for Boswell Digital Solutions LLC. Last updated: to be set at launch.
Software means the BDS application identified at time of purchase or installation, including updates, documentation, and related components.
Company means Boswell Digital Solutions LLC, or BDS.
User means the individual or entity installing or using the Software.
Content means all data, files, manuscripts, research materials, media, and other materials created, imported, or stored by the User within the Software.
Subject to the terms of this Agreement, Company grants User a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software for lawful purposes.
This license grants usage rights only and does not transfer ownership of the Software.
A valid license grants the purchaser the right to install and use the Software on any devices owned or controlled by the purchaser.
The license is intended for individual use and may not be shared, transferred, or distributed to other individuals or organizations.
Organizational or multi-user deployment requires a separate agreement.
User may not copy, distribute, sublicense, lease, rent, or resell the Software.
User may not reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, except where permitted by applicable law.
User may not remove or alter proprietary notices or circumvent technical protections or licensing controls.
Enterprise, multi-user, or organizational deployment may require a separate written agreement.
The Software and all related intellectual property rights are owned by Company and protected by applicable law.
All rights not expressly granted are reserved.
User retains full ownership of all Content created or stored using the Software.
Company does not claim ownership over User Content.
Unless explicitly enabled by User through optional integrations, the Software does not automatically transmit User Content to Company.
Certain Software features may enable optional integration with third-party services.
Use of third-party services is subject to their respective terms and policies.
Company is not responsible for third-party service availability, security, or performance.
Software licenses may be purchased through authorized payment providers.
All fees are disclosed at the time of purchase.
Unless otherwise required by law or stated in a written policy, purchases are non-refundable.
Company may suspend or revoke licenses obtained through fraud, chargeback abuse, or material breach.
Company may provide updates, enhancements, or security patches.
Some updates may be required for continued secure operation.
Continued use of updated Software constitutes acceptance of applicable changes.
The Software is provided as-is and as-available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
User assumes full responsibility for use.
To the maximum extent permitted by law, Company shall not be liable for indirect, incidental, special, consequential, or punitive damages.
Total liability shall not exceed the amount paid for the Software license giving rise to the claim.
This Agreement terminates automatically upon material breach.
Upon termination, User must cease use and delete all copies of the Software.
This Agreement is governed by the laws of the State of Kentucky, United States, without regard to conflict-of-law principles.
Company may update this Agreement from time to time.
The version in effect at the time of purchase governs the license unless User agrees to updated terms.

If User purchases or activates a Pro or higher edition of the Software, certain optional ecosystem integration features may become available.
These features may enable the Software to communicate with BDS-operated supporting services, locally hosted supporting services, or authorized third-party services.
Activation of such features is voluntary and under User control.
Unless explicitly stated otherwise in separate written terms, User Content remains owned by User, Company does not claim ownership of Content processed through ecosystem features, Company does not guarantee continuous availability of optional ecosystem services, and Company is not responsible for third-party services connected through the Software.
Ecosystem features may require additional credentials, configuration, or compliance with separate service policies. Company reserves the right to modify, suspend, or discontinue optional ecosystem features.
Additional terms governing optional connected features are published in the Ecosystem Integration Terms.
Certain Software features may depend on supporting services or infrastructure.
Company does not warrant uninterrupted operation of such services and is not liable for downtime or operational limitations beyond reasonable control.
